"JuNXLMS" or "Platform" means the cloud-based Learning Management System operated by JuNX LLC.
"JuNX," "we," "us," or "our" means JuNX LLC, a California limited liability company.
"User" or "you" means any individual who accesses or uses JuNXLMS, including administrators, trainers, employers, and learners.
"Client" or "Institution" means the organization that has entered into a SaaS Subscription Agreement with JuNX LLC.
"Content" means any text, data, files, courses, assessments, certificates, or other materials submitted to or generated through JuNXLMS.
To use JuNXLMS, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at info@junxlms.com if you suspect unauthorized access to your account.
Your right to access JuNXLMS is limited to the number of seats purchased under your subscription plan. You may not share login credentials between users or allow concurrent use of a single seat by multiple individuals.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk, with or without prior notice depending on the severity of the violation.
You agree to use JuNXLMS only for lawful purposes and in accordance with these Terms. You shall not:
You retain ownership of all Content you upload to JuNXLMS. By uploading Content, you grant JuNX LLC a limited, non-exclusive, royalty-free license to host, process, and display your Content solely as necessary to provide the platform services.
You are solely responsible for all Content you upload. You represent and warrant that: (a) you have all necessary rights to upload and use the Content; (b) the Content does not infringe any third-party intellectual property rights; and (c) the Content complies with all applicable laws.
All platform content, features, functionality, software, and materials created by JuNX LLC — including but not limited to the JuNXLMS codebase, interface, documentation, and brand assets — are owned by JuNX LLC and protected by copyright, trademark, and other intellectual property laws. You may not use JuNX LLC's intellectual property without express written permission.
If you provide suggestions or feedback about JuNXLMS, you grant JuNX LLC a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
Access to paid features of JuNXLMS is subject to payment of applicable subscription fees as set out in your Order Form or SaaS Subscription Agreement. Key terms:
Your use of JuNXLMS is subject to our Privacy Policy. For institutional clients handling student education records, our FERPA Data Use Agreement governs the processing of that data. By using JuNXLMS, you consent to the collection and use of information as described in our Privacy Policy. A copy is available upon request at info@junxlms.com.
JuNX LLC will use commercially reasonable efforts to maintain platform availability of at least 99% measured monthly, excluding scheduled maintenance. We will provide at least 24 hours' advance notice of scheduled maintenance. JuNX LLC is not responsible for downtime caused by: (a) your internet connectivity or equipment; (b) third-party services outside our control; (c) force majeure events; or (d) your misuse of the platform.
These Terms remain in effect for as long as you use JuNXLMS. Paid subscriptions continue for the duration of the subscription term selected in your Order Form.
Monthly subscribers may cancel at any time with 30 days' written notice. Annual subscribers may cancel before renewal — no refund for the current term. Free accounts may be closed at any time.
We may suspend or terminate your access immediately for: (a) violation of these Terms; (b) non-payment; (c) fraudulent activity; or (d) conduct that poses a security risk. We may terminate subscriptions in good standing with 30 days' written notice.
Upon termination: (a) your license to use JuNXLMS ends immediately; (b) you must cease all use; (c) we will make your data available for export for 30 days; (d) all outstanding fees become immediately due. Sections 4.3, 9, 10, 11, and 12 survive termination.
You agree to indemnify, defend, and hold harmless JuNX LLC and its members, officers, employees, and agents from any claims, damages, losses, and costs (including reasonable attorneys' fees) arising from: (a) your use of JuNXLMS in violation of these Terms; (b) your Content infringing any third-party rights; (c) your violation of any applicable law; or (d) your organization's misuse of student education records.
These Terms are governed by the laws of the State of California without regard to conflict of law principles. Any dispute arising from these Terms or your use of JuNXLMS shall be resolved in the state or federal courts located in Los Angeles County, California. You consent to personal jurisdiction in those courts. The prevailing party in any legal proceeding shall be entitled to recover reasonable attorneys' fees and costs.
We may update these Terms from time to time. When we do, we will post the updated Terms on junxlms.com with a new "Last Updated" date. For material changes, we will notify you by email or prominent in-platform notice at least 30 days before the change takes effect. Your continued use after the effective date constitutes acceptance of the updated Terms.
Entire Agreement: These Terms, together with your SaaS Subscription Agreement, Privacy Policy, and FERPA Data Use Agreement (if applicable), constitute the entire agreement between you and JuNX LLC regarding JuNXLMS.
Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full effect.
Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it later.
Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
